General and Ordering Terms of e-Shop

1. Scope and Validity of Terms

1.1 These Terms apply to the legal relationships arising between all persons and DRIVEPLEX OÜ (registry code: 16984257, VAT number: EE102736984, e-mail: info@carstaff.eu), the owner of the carstaff.ee purchase environment (hereinafter e-shop), when purchasing products via the e-shop. The legal relationships are also governed, among other things, by the legislation in force in the Republic of Estonia.
1.2 The user of the e-shop is a legal person or a natural person (who confirms by using the e-shop that they are at least 18 years of age (hereinafter also a consumer)). By using the e-shop, the user confirms that they have read the Terms and accept and comply with them correctly.
1.3 Driveplex OÜ reserves the right to amend and modify these Terms and the price list due to the development of the e-shop and in the interests of better and safer use of the e-shop. Persons will be notified of any amendments and modifications to the Terms and to the price list via the website of the e-shop. The amendments and modifications to the Terms and to the price list take effect as of the publication thereof on the website carstaff.eu. If you placed your order before the amendments to the Terms took effect, the Terms in force at the time of placing the order will apply, unless otherwise prescribed in law or in these Terms.

2. Prices

2.1 The prices of the products sold in the e-shop are retail prices, which are displayed in euros and payment is made in euros.
2.2 All prices include value added tax at the rate of 22%.
2.3 The prices of the e-shop are valid in the event of timely payment of an invoice in accordance with the provisions of clause 4.
2.4 The transport fee may be added to the price of the product indicated in the e-shop, which will be highlighted in the shopping cart at the time of choosing the mode of transport. The transport fee depends on the size and weight of the ordered product or the chosen courier (courier, SmartPOST parcel terminal, DPD parcel terminal, Omniva parcel terminal).

3.1 Shopping Cart and Placing Orders

3.1 To order the goods, the desired products must be added to the shopping cart. The shopping cart is created when you click the ‘Add to cart’ button. By clicking the ‘View the shopping cart’ option, you will see your entire shopping cart with the amount to be paid.
3.2 You can change the number of products in the shopping cart. You can also change the quantity of products ordered. Click the ‘Update the shopping cart’ button to confirm the change. Click the ‘Go to pay’ button to continue placing your order. You will be redirected to the customer details page.
3.3 On the customer details page, enter the required data and the desired delivery method. Please also tick the box in front of the text below the bank links that says ‘I have read and agree to the terms of sale on the website’ and click on the ‘Confirm and pay’ button. You will be redirected to pay.
3.4 Be careful when filling in the fields on the customer details and order confirmation pages, as the fast and trouble-free delivery of the products you have purchased depends on the accuracy and correctness of this information.
3.5 The contract for the sale of products is deemed concluded (entry into force of the Contract) as of the receipt of the amount payable according to the order confirmation to the bank account of Driveplex OÜ.
3.6 Orders placed in the e-shop are processed on working days (Mon–Fri 8:00–17:00).

4. Payment for Products

4.1 To make a payment, choose a suitable payment method on the page for finalising the order.
4.2 It is possible to pay for products via a bank link (Swedbank, SEB, Luminor, LHV, Citadele, Revolut, etc.) or by using the option Payments by cheque. If you choose the latter option, an invoice will be sent to your e-mail address, after the payment of which and the receipt of the money in the bank account of Driveplex OÜ the order is deemed placed. Upon payment via a bank link, be sure to click on the ‘Return to merchant’ button on the bank’s website and do not close the browser window before redirecting. Payments are mediated by Montonio Finance UAB.
4.3 In addition, it is possible to pay by hire purchase, mediated by Inbank As. You can read more about hire purchase here https://carstaff.eu/jarelmaks/
4.4 The order will be cancelled if the purchase price has not been received in the bank account of Driveplex OÜ within 5 days.
4.5 If the order is cancelled or the purchased product is returned, the purchase price will be refunded according to the payment method chosen when placing the order. The amount paid by transfer is transferred back to the account from which the amount paid was received.

5. Delivery and Handover of Products

5.1 After the entry into force of the Contract in accordance with clause 3.5 of the Terms, the products are delivered to the consumer by the delivery method chosen by the consumer when placing the order:
– courier;
– Itella SmartPOST parcel terminal;
– DPD parcel terminal;
– Omniva parcel terminal
5.2 Shipments usually reach the destination specified by the purchaser within 2–7 working days of making the purchase. In exceptional cases, you have the right to have the goods delivered within up to 45 calendar days.
5.3 The products together with the user information in Estonian and other documents accompanying the products will be delivered by the courier company within the delivery time indicated on the product card and order confirmation.
5.4 If a product ordered by the consumer is not in stock and must be ordered from a special supplier and it is obvious that the delivery of the product within the delivery period specified in the product description is not possible, and in other events where the timely delivery of the products is not possible due to circumstances for which Driveplex OÜ is not responsible, we will notify the consumer thereof by the contact telephone or e-mail provided by the consumer when placing the order within 2 working days of entry into force of the Contract in accordance with clause 3.5 of the Terms and we will also notify of the delivery period of the ordered product. If, as a consumer, you lose interest in purchasing a product due to a longer delivery period, the consumer has the right to cancel their order (see clauses 6.1 and 6.4 for more details) and the amount paid by the consumer (including transport costs) will be refunded. When ordering a product, we will send the consumer a prepayment invoice to the extent of 100%.
5.5 When the ordered products have been handed over to the courier company, the courier company will contact the consumer and notify of the time of delivery of the products.
5.6 The courier company delivers the products to the address indicated by the customer when placing the order. It is not possible to change the destination later.
5.7 Please ensure that the contact details provided when placing the order are correct to avoid delays and misunderstandings in the delivery of the products. Driveplex OÜ and the courier company are not responsible for delays or misunderstandings in the delivery of products if the delay or misunderstanding is due to the inaccurate or incorrect information provided by the consumer when placing the order.
5.8 The products are handed over to the consumer by the courier along with the delivery note. Before signing the delivery note, we strongly recommend that the consumer inspect the packaging of the products and, in the event of external damage, make a note to that effect on the courier’s delivery note. We ask the consumer to report a product with damaged packaging by e-mail to info@carstaff.eu or to the contact telephone numbers of Driveplex OÜ: +372 566 70716; +372 566 99311. If necessary, the product with packaging damaged by the courier company will be replaced.
5.9 Delivery terms are only valid in the territory of the Republic of Estonia.

6. Liability and Force Majeure

6.1 Driveplex OÜ is liable to the consumer and as a consumer you are liable to Driveplex OÜ for the damage or loss caused to the other party by a breach of these Terms in the events and to the extent provided in the legislation in force in the Republic of Estonia.
6.2 Driveplex OÜ is not liable for the damage or loss caused to the consumer or a delay in the delivery of a product if the damage or loss or the delay in the delivery of the product is due to circumstances which were beyond the control of Driveplex OÜ and the arrival of which Driveplex OÜ did not and could not foresee (force majeure).

7. Other Terms

7.1 Driveplex OÜ uses the personal data (incl. name, telephone number, address, e-mail address, bank details) entered by the consumer only to process the order and send the goods to the consumer. Driveplex OÜ transmits personal data to companies providing transport services in order to deliver the goods.
7.2 Driveplex OÜ may send the consumer newsletters and offers to the consumer’s e-mail address only if the consumer has expressed such a wish by entering their e-mail address on the website and has notified of their wish to receive direct mail messages.
7.3 The consumer can withdraw from the offers and newsletters sent to the e-mail at any time, notifying us thereof by e-mail or following the instructions provided in the e-mail containing the offers.
7.4 Matters not resolved separately in these Terms are governed by the legislation in force in the Republic of Estonia.
7.5 Driveplex OÜ reminds that the consumer has the right to use the legal remedies set out in § 101 of the Law of Obligations Act (to demand performance of an obligation, to demand compensation for damage or loss, to withdraw from the contract, etc.).
7.6 Disputes arising between the consumer and Driveplex OÜ in connection with ordering and purchasing products via the e-shop will be resolved by way of negotiations. Failing agreement, the consumer has the right to have recourse to the Consumer Disputes Committee through the Consumer Protection Board (see komisjon.ee or in the event of cross-border disputes: ec.europa.eu/consumers/odr/) or to the county court of the consumer’s residence to protect their rights. The consumer may file a complaint themselves or through a representative. Disputes are resolved in accordance with the legislation in force in the Republic of Estonia.
7.7 The right to sign and conclude transactions (ordering and purchasing goods, quoting prices, invoicing prepayments, making reservations, issuing customer cards) on behalf of the company is with:
1) a member of the management board 2) an authorised person (on the basis of a power of attorney signed by a member of the management board)
7.8 Disputes with persons engaged in economic and professional activities are resolved by way of negotiations. If the negotiations yield no result, the disputes will be resolved in the Harju County Court.

8. Disclaimer

8.1 Product images are for illustrative purposes only. The product description is of a general nature and does not necessarily include all features.
8.2 Product prices and availability are subject to change without notice. In such an event, Driveplex OÜ reserves the right to withdraw from the sale and return the money to the customer’s bank account within 10 working days.
8.3 Driveplex reserves the right to withdraw from the sale if any of the following problems have occurred with the product: a human error has occurred in entering the price or technical error in the system (e.g. if a product worth 2,900 euros is sold for 290 euros, this is an obvious error. Therefore we assume that the customer should understand that this is an error and the product will not be sold at that price).
8.4 Product information is checked and improved regularly. The data may have been updated since the consumer’s last visit. As the suppliers’ data sheets can be incomplete, there may be inaccuracies in the product information in the e-shop. In this event, Driveplex OÜ does not take responsibility for the accuracy of the product data.
